Isle of Man registered office requirements

Every Isle of Man company must maintain a registered office in the Island. It is the address on the public register and the address to which the Companies Registry and other authorities send official correspondence. It is not simply a mailing convenience.

The registered office is distinct from other addresses a company may use. A business or trading address is where the company conducts its day-to-day operations; it may be anywhere in the world. A registered office must be a physical address in the Isle of Man where statutory records are ordinarily kept and where the company can be contacted by the Registry and other authorities.

Both 1931 Act companies and 2006 Act companies require a registered office in the Island. The 2006 Act introduces an additional requirement: a licensed registered agent must be appointed and must remain in place at all times. The registered agent is a separate role from the registered office address. The agent holds prescribed records, makes certain filings on behalf of the company, and is responsible for ensuring the company meets its statutory obligations. The registered office address may be the agent's address, but the two are distinct requirements.

Statutory records ordinarily kept at the registered office include the register of members, register of directors, register of charges, and other records required by the applicable Act. If those records are held elsewhere, the position must be handled properly rather than informally, and the Registry must be notified where required. The address on the register must be accurate. Where a company changes its registered office, the change must be notified to the Registry within the prescribed period. Correspondence sent to an out-of-date address is still validly served, which is how filing deadlines are commonly missed.

Where a corporate service provider provides the registered office, official post is typically received, logged and forwarded to the people you nominate, and Registry notices are matched against the filing calendar the provider maintains for the company.
